Terms

VIP Group is a limited liability company called VIP Group.

The User is a capable individual who has reached the age of 18 and has the legal right to enter into contractual relations with VIP groups, including placing an Order or booking services on the website. https://vipgroup.ru , either indicated as a recipient of the service, or otherwise using the services purchased on the site https://vipgroup.ru , exclusively for personal and other needs, unrelated with the implementation of entrepreneurial activities.

Website — the website of VIP groups on the Internet, located at https://vipgroup.ru , where the Order is processed by the User.

An Order is a duly executed User's request to receive the services selected on the Website.

User account is a personal account of the User in VIP groups, to which funds can be credited in case of a refund or refusal of an Order previously paid by the User. The specified funds may be used as an advance payment for the User's subsequent Orders from VIP Groups or returned to the User in accordance with the procedure provided for in this Agreement.

The booking system is an information system that contains information about available VIP services and additional services at airports, fares and rules for their use, as well as other conditions for the provision of the services offered. The specified information is posted on the website https://vipgroup.ru in full accordance with how it is presented by the direct Service Provider or their authorized representatives. The information on the Site can be changed or supplemented at any time, and therefore the User is invited to use the Site in the "as is" mode.

OperatorVIP Group is a VIP Group employee who processes User Orders that require individual "manual" processing.

VIP service – services for organizing the departure and arrival of passengers on regular flights through airport VIP lounges, services for organizing expedited passage of formalities accompanied by an assistant, services for accompanying passengers with an assistant at airports on departure or arrival on regular flights without a guarantee of expedited passage of airport formalities and procedures, services for organizing passenger visits to Business lounges at airports, services loader, booking meeting rooms, high-comfort rooms and other services. The range of services may vary depending on the airport where the VIP service is provided. A brief description of VIP services is provided on the Website. The User can request more detailed information about the composition and procedure for providing services at a particular airport from the VIP Group Operator using the contacts provided on the Website.

The service provider is a VIP service provider company that is the direct contractor at the airport booking the service.

ARTICLE 1. General provisions

1.1. By ordering services through VIP Group, the User agrees to the terms of the Public Offer Agreement (hereinafter referred to as the Agreement) set out below. VIP Group provides the User with services for providing information contained in the Booking System and booking services of third parties (Service Provider) for booking VIP service at the airport in accordance with the parameters set by the User (VIP service booking airport, date, time, route, type of service, number of passengers and other conditions of carriage), as well as for registration procedures for canceling an Order upon the User's request.

1.2. This Agreement, as well as information about the services provided on the Website, are a public offer in accordance with Articles 435 and Part 2 of Article 437 of the Civil Code of the Russian Federation.

1.3. The provisions of the current legislation of the Russian Federation apply to the relationship between the User and the VIP Group.

The services of third parties booked by the User for the provision of VIP service at airports are governed by the Rules for booking VIP Service at Airports, which are an integral part of this Agreement and the tariffs for the provision of VIP group services in force at the time of booking VIP service. In this regard, the user undertakes to familiarize himself with the Booking Rules and Tariffs.

1.4. VIP Group reserves the right to make changes to this Agreement, and therefore the User undertakes to regularly monitor changes to the Agreement posted on the Website.

1.5. The User agrees to this Agreement by putting a check mark in the column "I accept the terms of the Public Offer Agreement" at the last stage of placing an Order on the Website. By agreeing to the terms of this Agreement, the User confirms his legal and legal capacity, financial viability, and is also aware of his responsibility for the obligations imposed on him as a result of concluding this Agreement. The User confirms the accuracy of his personal data, as well as passenger data, and assumes full responsibility for their accuracy, completeness, and reliability.

1.6. The User assumes all possible commercial risks (making a new Order, changing an Order, canceling an Order, refunding money, etc.) related to his actions to make mistakes, inaccuracies in providing the requested VIP data groups.

1.7. In order to fulfill this agreement, VIP Group enters into and executes contracts with third parties providing certain services.

ARTICLE 2. Registration on the website

2.1. To place an Order, the User must register on the Website, specifying the email address to which registration is carried out. The user can also register with the VIP Group Operator by calling the support service.

If there is no User registration on the Website, VIP Group performs User registration on its own, directly when the User places an Order. Registration is made to the email address specified by the User in the appropriate field, which will later be used as a login to the User's personal account on the Site.

2.2. VIP Group is not responsible for the accuracy and correctness of the information provided by the User during registration.

2.3. The User undertakes not to disclose to third parties the login and password specified during registration. If the User has any suspicions about the security of his login and password or the possibility of their unauthorized use by third parties, the User undertakes to immediately notify VIP Group by sending an email to info@vipgroup.ru or by phone, posted on the Website in the Contacts section.

2.4. All information exchange between the Parties regarding the User's Order and the fulfillment of their other obligations under this agreement is carried out via e-mail, the address of which was specified by the User during registration. In this regard, the User undertakes to regularly, up to the moment of using the VIP service booked on the Website, independently monitor the status of his Order, including checking his e-mail for information about possible changes, and if necessary, contact the VIP groups for information using the contacts listed on the Website.

The User is responsible for any consequences arising from the User's lack of information about changes to the Order that occurred for reasons beyond the control of the VIP groups (cancellation or postponement of the flight, refusal to provide VIP service by the Service Provider, delay in payment by the User's bank, tariff changes, etc.), provided that the VIP groups comply with the procedure unotifying the User of any changes to the Order.

ARTICLE 3. Execution and terms of order confirmation

3.1. The Order is placed by the User independently on the Website or by phone with the help of a VIP Group Operator by calling the support service. The details of the Order are described in the "How to place an Order" section, which is an integral part of this Agreement. One order must be placed per passenger according to the same parameters (airport of VIP service, date, route, flight, last name). In the case of a "double" booking, VIP Group has the right to cancel one or both of these bookings upon their discovery, and is not responsible for any consequences associated with the user placing more than one order per passenger using the same parameters, including if the originally created reservation was not paid at the time of the re-booking. By the user.

3.2. The User gets acquainted with all the terms of the Order during the booking process. If the User does not understand any terms of the Order, including the conditions of refusal, refund, making any changes to the completed Order, the User must clarify the information he needs from the VIP Group Operator.

3.3. When making an Order, the User must fill in all the fields specified in the Booking System as "mandatory".

3.4. Orders placed by the User are final in nature and are subject to automated processing in the VIP Group Data Processing System.

By paying for the Order, the User confirms his agreement with this Offer Agreement, as well as agreement with all the details of his trip, including the airport of VIP service, flight dates, time of departure, arrival, transfer, passenger data, class of service.

After the User pays for the Order, the confirmation of the booked VIP services is automatically generated in the Booking System or executed by the VIP Group Operator in the Booking System. The booking confirmation formalized using one of the specified methods will be sent to the email address provided during registration. In some cases, booking confirmation is carried out within 24 hours of payment of the Order.

In case of late receipt by the VIP group of information about the payment of the Order by the User, cancellation of the reservation by the Service Provider or for other reasons beyond the control of the VIP group, the User's Order is canceled and can be restored by processing it by the VIP Group Operator, which considers such Orders in the order of priority.

3.5. Changing the data in a completed and paid Order leads to the loss of the validity of the tariffs agreed in the Order, and is possible only by canceling such an Order, withholding the penalties provided for in the tariff and placing a new Order. Thus, the User assumes all possible commercial risks (making a new Order, changing the tariff, changing the cost of booking a VIP service, the possibility of providing a VIP service by a Service Provider, refunding funds, etc.) related to his actions to make mistakes, inaccuracies in providing the requested VIP groups of data when placing an Order.

3.6. VIP Group has the right to refuse to provide the User with the service specified in the User's Request due to restrictions by the service provider or the lack of technical capability of the supplier to provide the relevant service.

ARTICLE 4. Payment of the order.

4.1. The cost of the Order is determined based on the tariffs in force at the time of placing the Order. The tariffs are posted in the "Tariffs and Conditions" section of the Website. Payment for services is made in Russian rubles. Prices can be set in rubles or in other currencies. Conversion into rubles is carried out at the exchange rate of the Central Bank of the Russian Federation on the invoice date. Additionally, the conversion costs are paid in the amount of 2% (Two percent). The cost of the booked services is determined according to the applicable tariffs on the day of service provision. The cost can be changed unilaterally by the VIP group or the Service Provider.

When the User pays for an Order with a bank card on the Website, depending on the VIP service selected by the User, the recipient of the payment may be a VIP group or a Service Provider, based on the rules and requirements established by the Service Provider for the corresponding User order.

The cost of the Order is indicated on the Website online and can be changed unilaterally by the VIP group or the Service Provider. In case of errors in specifying the cost of the Order that have occurred in the booking system regardless of the actions of the VIP groups, the VIP Group will inform the User about this as soon as possible in accordance with the procedure provided for in clause 2.4. of this Agreement. The User can choose to confirm the Order at the corrected cost or cancel the Order. If it is impossible to contact the User within 24 hours in the manner specified in clause 2.4. of this Agreement, it is considered that the User has not agreed to the cost changes, and therefore this Order is canceled.

If the Order cancelled in accordance with this clause has been paid, VIP Group transfers the funds paid for the Order to the User's Account, from which, upon written request, they can subsequently be returned to the User in accordance with the terms set out on the Website in the section "VIP Service Booking Rules at Airports", which is an integral part of this Agreement.

4.2. The Order payment term (time-limit) is indicated on the Website when placing the Order. In case of delay of the specified payment period by the User or receipt of payment after the expiration of the specified period, the Order placed by the User is cancelled.

An Order paid after the expiration of the established payment period can be restored by the VIP Group Operator if the Service Provider has the appropriate capability in all parameters (airport of provision and type of VIP service, route, dates, flight, fare and other conditions) for an untimely paid and cancelled Order. To do this, the User must contact the VIP group with a corresponding request for the contacts listed on the Website.

4.3. Payment methods for the Order are indicated on the Website in the "How to pay for the Order" section, which is an integral part of this Agreement.

4.4. Features of payment for an Order using bank cards:

4.4.1. In accordance with the Regulation of the Central Bank of the Russian Federation "On Issuing Bank Cards and on Transactions Performed using Payment Cards" dated December 24, 2004 No. 266-P, transactions on bank cards are performed by the cardholder or a person authorized by him.

4.4.2. The payment procedure using bank cards is indicated on the Website in the "How to pay for an Order" section, which is an integral part of this Agreement.

4.4.3. Authorization of bank card transactions is carried out by the payment system through which the payment operation is performed. If the payment system has reason to believe that the transaction is fraudulent, the system has the right to refuse to carry out this operation. Fraudulent transactions with bank cards fall under the scope of Article 159 of the Criminal Code of the Russian Federation.

4.4.4. In order to avoid cases of various kinds of misuse of bank cards during payment, all Orders placed on the Website and paid with a bank card are checked by VIP groups. According to the Rules of international payment systems, in order to verify the identity of the owner and his/her eligibility to use the card, the User who placed such an Order must, upon request from the VIP Group Operator, provide two pages of the passport of the owner of the bank card with a photo, as well as a copy of the bank card on both sides (the card number must be closed, except the last four digits) by e-mail in the form of scanned copies. If the User does not provide the requested documents within the time period specified in the VIP Group's request or if there are doubts about their quality. However, VIP Group reserves the right to cancel the Order without explanation. The cost of the Order is refunded to the owner's card.

ARTICLE 5. Order change. Cancellation of the booked service

5.1. All terms of the Order, including: any changes to the Orders placed, cancellation of the booked VIP services, as well as other conditions for the provision of VIP services, are governed by the VIP Service Booking Rules, the rules of the Service Provider, the tariffs for this service, this agreement, the current legislation of the Russian Federation and applicable international acts.

5.2. The change of the booked and paid Order is carried out in accordance with the procedure provided for in the section "Rules for booking VIP service at airports", which is an integral part of this Agreement.

5.3. If the User wants to cancel the Order for any reason, he can:

- cancel the Order on the Website in the "My Orders" section;

- to make a refund of the paid Order, for this the User must send a corresponding application posted on the website in the "Questions / Answers" section in accordance with the procedure provided for in the section "VIP Service Booking Rules at airports", which is an integral part of this Agreement. If the User does not have the opportunity to send a corresponding return letter by e-mail (lack of Internet access, etc.), the User must contact the VIP Group Operator by phone to clarify the possibility of canceling the Order verbally and, upon confirmation of this possibility, cancel the order.

5.4. An order is considered cancelled by VIP Group after it is assigned the status "Order cancelled" in the VIP Group System.

5.5. In case of cancellation of an Order by the User, payment for which was made by the User with a bank card on the Website and received directly to the Service Provider, the cost of the canceled Order, minus fines and other deductions provided for by the Rules of the Service Provider, is transferred by the VIP Service Operator to the User's card from which the payment was made without the participation of VIP groups.

In case of cancellation by the User of a paid Order, the payment for which was received by the VIP group, the cost of the canceled Order, minus the actual costs of the VIP group, is transferred to the User using the details specified in the refund application. Actual expenses are the expenses incurred by VIP Groups in order to arrange the execution of the User's VIP Service Booking Order, including fines withheld by the Service Provider and other persons providing VIP service booking services, as well as the service fee charged by VIP groups for the provision of services. The actual costs incurred by VIP Groups upon voluntary cancellation of the Order, in the form of fines and fees transferred to the Service Provider, and the VIP Group's fee for the provision of the service, are non-refundable, including in the event of a subsequent forced cancellation of the booked VIP service.

5.6. Funds are subject to refund to the User in accordance with the procedure provided for in the section "VIP Service Booking Rules at Airports", which is an integral part of this Agreement. The User's funds credited to his User Account can be used by the User to pay for subsequent Orders or returned to the User using the details specified by the User in the relevant application.

5.7. In exceptional cases, by the sole decision of the Contractor, in order to prevent unfair actions in the use of the resource. https://vipgroup.ru , as well as making bookings without the intention of using them, the Contractor has the right to deduct up to 5% of the order amount from the funds returned to the Customer for cancellation of the reservation as compensation for the actual costs incurred by the Contractor for processing payments and banking cost commissions.

5.8. For more detailed information about the conditions of cancellation and refund of funds, see the section "VIP Service Booking Rules at Airports", which is an integral part of this Agreement.

ARTICLE 6. Liability of the parties

6.1. Guarantees and responsibilities of VIP groups.

6.1.1. VIP Group is not responsible to the User in the event of complete or partial malfunction of the system and its components for any time, as well as in the absence of the User's access to the system or incurring any indirect or direct costs in connection with these circumstances. All offers, prices, and terms of sale may be changed without notice to the User, limited in time, availability and timing of the Order, dates of VIP service provision, minimum or maximum stay at the VIP service location, weekend and holiday factors, seasonal price fluctuations, waiting lists, as well as strikes and temporary inactivity of booking systems and/or subject to other changes, conditions and restrictions.

6.1.2. VIP Group is not responsible for the negative consequences and losses resulting from events and circumstances beyond its competence, as well as for the actions (inaction) of third parties, namely:

— if it is impossible to fulfill the obligations assumed due to the unreliability, insufficiency and untimely nature of the information and documents provided by the User, or violation by the User of the terms of this Agreement or the requirements for documents;

— for actions of the Service Provider and the airlines (modification, cancellation, postponement, delay of departure of flights, trains, buses and other vehicles, change in the cost of VIP service, cancellation of unpaid or paid bookings), for the safety, loss or damage of baggage, cargo, valuables and documents of passengers during the entire duration of their trip. In these cases, air carriers and Service Providers are responsible to passengers in accordance with their rules for the provision of services, international regulations and the current legislation of the Russian Federation. Passenger claims are considered by carriers and Service Providers based on the legislation of the Russian Federation and the rules of international transportation.;

— for the actions of the customs and immigration authorities;

— for restricting the passenger's right to leave the Russian Federation or another point of departure by the competent authorities of the relevant country;

— for the actions of consulates of foreign countries, including for the delay, refusal or change of the deadline for issuing entry visas;

— for the consequences of passenger's violation of customs and border formalities, rules of travel and baggage transportation, as well as violations of special rules of conduct in the country of temporary stay;

— for the passenger's lack of travel documents;

— for passengers not showing up or being late for flight check-in;

— for non-compliance by passengers with the rules of conduct established by the carrier on board aircraft;

- for non-compliance by passengers with the rules of conduct established by the Service Provider in the VIP lounge or at the airport of VIP service;

— for the absence of foreign passports issued by passengers at the time of the start of the trip, and the relevant documents regulating the departure of minors under the age of 18.;

— for the authenticity and correctness of the passenger's documents (the accuracy of the information contained therein).

6.2. The User (passenger) confirms and guarantees that he has read and agrees:

— with the requirements for registration and availability of documents required for the trip, and assumes full responsibility for preparing all necessary documents for the trip. Passengers should independently familiarize themselves with and comply with all the requirements of the country to which they are traveling, including the requirements for paperwork required upon departure and arrival, the need for visas, the purchase of a return ticket upon entry into a country with a visa-free regime for citizens of a country with a corresponding agreement with the Russian Federation, or compliance with other requirements necessary for entry (availability of medical insurance for those traveling abroad, confirmation of the availability of sufficient funds, etc.), the need for other documents for the departure of minors under the age of 18, animals, permits for the export of weapons, art treasures and other permits and approvals. VIP Group is not responsible for ignorance of ILand the passenger's failure to comply with these requirements;

— the rules for booking VIP service at airports, which are an integral part of this Agreement, including the conditions for making changes and canceling Orders, the conditions for placing and canceling urgent Requests, as well as the conditions for connecting flights by carriers in the case of a transfer ticket (sufficient time to transfer, transit visas, etc.) and the general conditions and rules of carriage;

— with the requirements for foreign passports and other formal documents, including the remaining validity period of a foreign passport required to obtain a visa and enter the host country;

— on the specifics and rules of border (customs) control (regime) of the Russian Federation and foreign countries;

— the obligation to comply with customs and border regulations;

— that passengers are solely responsible for the validity of foreign passports, travel permits for minor children and other documents required for border crossing, and for the accuracy of the information contained in these documents.;

— that the deportation of a passenger with invalid entry or exit documents is carried out solely at the expense of the passenger. The passenger must independently obtain the necessary information about the deportation procedure at the consulate of the relevant country.

6.3. The Parties are released from liability for improper performance or non-performance of obligations under this Agreement in the event of force majeure, which include the following circumstances: fire, epidemic, earthquake, terrorist attack, flood, hurricane, storm, tsunami, landslide, other natural disasters and cataclysms, military actions of any nature, strikes, the imposition of a state of emergency or martial law, an embargo, changes in the legislation of the Russian Federation or the country of residence or transit, actions of customs and sanitary control authorities, cancellation of bus, ferry and other transport services, taxi routes, traffic jams on roads, issuance by government authorities of regulations that have led to the impossibility of proper fulfillment by the Parties of their obligations and other circumstances to which the parties cannot influence and prevent it.

6.4. Upon the occurrence (and termination) of the circumstances specified in clause 6.3. of this agreement, the Party for whom it is impossible to fulfill its obligations under this agreement is obliged to immediately notify the other Party. Failure to notify or untimely notification of these circumstances deprives the Parties of the right to refer to these circumstances and does not release them from liability under this agreement. The deadline for the fulfillment of obligations by the Parties under this agreement is postponed in proportion to the time during which such circumstances will apply. If the circumstances continue for more than 14 (fourteen) days, each of the Parties will have the right to refuse to fulfill obligations under this agreement. The existence of these circumstances is confirmed by relevant decisions of federal government bodies, state authorities of constituent entities of the Russian Federation, and local self-government bodies adopted by them in accordance with federal laws.

6.5. Upon the occurrence of these circumstances, the Parties have the right to demand the termination of the agreement in court.

ARTICLE 7. Intellectual property

7.1. All text information and graphic images on the Website are the property of VIP Group and/or its counterparties.

7.2. Reprinting, reproduction in any form, distribution, including translation, of any materials from the Website is possible only with the written permission of VIP groups.

7.3. When using documents and related graphic images located on the Website, the following requirements must be observed:

- Indicate that the copyright belongs to the VIP group;

- When reprinting materials, refer to the Website as the source of the publication and indicate other sources of information mentioned in the material. If the materials are posted on the Internet, then you need to link to the Website.;

- Documents and related graphic images located on the Website may be used only for informational, non-commercial or personal purposes.;

- No documents and related graphics located on the Site should be changed in any way.;

- No graphic images located on the Website should be used separately from the accompanying text.

7.4. Documents and related graphics located on the Website may include inaccuracies or spelling errors. The information on the Website is changed by VIP groups periodically.

ARTICLE 8. Confidentiality and protection of personal data

8.1. Provision of information by the User:

8.1.1. When registering on the Website, the User provides the following information: Last name, first name, phone number, email address, password for accessing the Personal Account on the Website and other personal data that the User voluntarily provides to the Contractor. When the Customer provides the Contractor with personal data that are special categories of personal data (for example, information about health status, race and ethnicity, political views, religious or other beliefs, membership in trade union organizations or intimate life), the consent given by the Customer when placing an Order in accordance with clause 1.4 of the Contract will be the legal basis for processing such personal data.

8.2. By submitting their personal data upon registration on the Website, the Customer agrees to their processing by the Contractor, including for the purpose of promoting the Contractor's services. The Customer confirms that he is a representative of the Passengers named in the Order and who are beneficiaries under the Agreement, whose personal data is being processed in order to fulfill obligations under the Agreement.

8.2.1. If the beneficiary under the Agreement is a child under the age of 16, the Customer confirms that a) if he is the legal representative of the child, gives his consent to the processing of his personal data when placing an Order; b) if he is not the legal representative of the child, he has received the necessary consent from such representative before making an Order. The Contractor has the right to require the Customer to provide confirmation of receipt of the specified consents.

8.2.2. If the User does not want his personal data to be processed, he must contact the VIP Group Customer Service using the contacts listed on the Website. In this case, all information received from the User (including login and password) is deleted from the VIP Group user database and the User is unable to place Orders on the Site.

8.3. The use of information provided by the User and received by VIP groups.

8.3.1 VIP Group uses information:

- to register a User on the Website;

- to fulfill its obligations to the User;

- to evaluate and analyze the work of the Site;

- to determine the winner in the actions conducted by VIP groups;

- to participate in VIP group bonus programs.

8.3.2. VIP Group has the right to send advertising and informational messages to the User with the User's consent, which can be obtained by VIP Group by marking the appropriate field by the User.

8.4. Disclosure of information received by VIP Groups:

8.4.1. VIP Group undertakes not to disclose information received from the User. It is not considered a violation for VIP Groups to provide the user's personal data and relevant information to carriers, agents and third parties acting on the basis of an agreement with VIP Groups to fulfill obligations to the User.

8.4.2. Disclosure of information in accordance with reasonable and applicable legal requirements is not considered a violation of obligations.

8.5. The VIP Group receives information about the IP address of the Website visitor. This information is not used to identify the visitor.

8.6. VIP Group is not responsible for the information provided by the User on the Website in a publicly accessible form.

ARTICLE 9. Other conditions

9.1. The law of the Russian Federation applies to the relationship between the User and the VIP Group.

9.2. If the User has any questions, he must contact the VIP Group Customer Service at the phone number indicated on the Website. In the event that the User has complaints directly about the quality of the VIP Group's work, the User submits a written complaint within no more than 20 (Twenty) days from the moment the cause of the dispute arises. Within 10 (Ten) days of VIP gruThe PP reviews the claim and sends a reasoned response to the User. The Parties will try to resolve all disputes through negotiations, and if no agreement is reached, the dispute will be referred to the judicial authority at the location of the VIP group.

9.3. The court's recognition of the invalidity of any provision of this Agreement does not entail the invalidity of the remaining provisions.
